These Terms of Service ("Terms") govern your access to and use of the AgenticBTC platform, API, dashboard, and related services (collectively, the "Service") operated by BK Block Solutions ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
We reserve the right to modify these Terms at any time. Material changes will be communicated via the dashboard or email associated with your account. Continued use of the Service after such notice constitutes acceptance of the revised Terms.
AgenticBTC is payment routing infrastructure. The Service analyzes available payment rails and selects the optimal route for a given transaction based on cost, speed, and availability. AgenticBTC is analogous to a mapping service that selects a route — selecting a route does not make the mapping service a transportation company.
AgenticBTC operates on a Bring Your Own Node/Wallet ("BYON") model. You connect your own accounts with third-party payment providers (e.g., Coinbase, Strike, PayPal, Venmo, Stripe) and your own wallets or nodes (e.g., Lightning nodes, on-chain Bitcoin wallets, USDC wallets on Base L2).
The Service currently supports routing across the following rails:
Availability of specific rails depends on your connected accounts and the recipient's capabilities. We may add or remove supported rails at any time.
You (or your authorized AI agent acting on your behalf) make all financial decisions, including but not limited to: whether to initiate a payment, the recipient, the amount, and the currency. AgenticBTC's role is limited to selecting which connected payment rail to use for routing optimization. We do not initiate, authorize, approve, or execute financial decisions on your behalf.
You must be at least 18 years old and have the legal capacity to enter into binding agreements in your jurisdiction to use the Service.
You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials, API keys, and all connected wallet and payment provider credentials.
You are solely responsible for all activity that occurs under your account, whether or not authorized by you. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.
AgenticBTC is infrastructure designed to be accessed by AI agents acting on behalf of users. If you deploy, authorize, or permit an AI agent to interact with the Service on your behalf:
(a) You are solely responsible for all actions taken by your AI agent, including all payment routing requests, transaction initiations, and any consequences arising therefrom.
(b) You are responsible for configuring, constraining, and supervising your AI agent. This includes setting appropriate spending limits, recipient restrictions, and operational parameters.
(c) AgenticBTC is not liable for any decision made by your AI agent, including decisions that are unintended, erroneous, or inconsistent with your expectations.
(d) AgenticBTC does not develop, deploy, or control your AI agent. We provide routing infrastructure only.
AI agents access the Service through our API. All API usage by your agent is treated as usage by you and is subject to these Terms. You must ensure your agent complies with all applicable terms, rate limits, and usage policies.
AgenticBTC charges a per-transaction service fee for routing infrastructure ("Service Fee"). The Service Fee is collected separately from and independently of the underlying payment amount. The Service Fee is collected via the cheapest available rail at the time of the transaction.

Your applicable tier is displayed in your account dashboard. Tier eligibility and rates are subject to change with notice.
The Service Fee is compensation for routing infrastructure services. It is not a commission, processing fee, interchange fee, or any form of payment for money transmission services.
You may incur additional fees from your connected payment rails (e.g., network fees, exchange fees, withdrawal fees). These are charged by third parties, not by AgenticBTC. We are not responsible for third-party fees.
You agree not to use the Service to:
(a) Violate any applicable law, regulation, or ordinance, including without limitation any anti-money laundering (AML), counter-terrorism financing (CTF), or sanctions laws;
(b) Engage in, facilitate, or support transactions involving proceeds of illegal activity;
(c) Circumvent, or attempt to circumvent, any access restrictions, geographic limitations, or security measures implemented by the Service;
(d) Interfere with, disrupt, or impose an unreasonable burden on the Service or its infrastructure;
(e) Reverse engineer, decompile, or disassemble any aspect of the Service;
(f) Use the Service for any purpose other than its intended function as payment routing infrastructure;
(g) Resell, sublicense, or redistribute access to the Service without prior written consent.
You represent and warrant that you are not (a) located in, organized under the laws of, or a resident of any such jurisdiction; (b) listed on the Specially Designated Nationals and Blocked Persons List (SDN List) or any other sanctions list maintained by OFAC, the U.S. Department of State, or any analogous authority; or (c) owned or controlled by any person described in (a) or (b).
The payment rails accessible through the Service are operated by independent third parties. AgenticBTC does not control, operate, or guarantee the availability, performance, security, or policies of any third-party payment rail.
Your use of connected payment rails is governed by the respective terms, policies, and agreements of those third-party providers. You are responsible for reviewing and complying with all such terms.
Access to the AgenticBTC API is granted subject to these Terms and any applicable API documentation. We may impose rate limits, usage quotas, or other technical restrictions on API access.
You are responsible for safeguarding your API keys. Do not share, publish, or embed API keys in client-side code or publicly accessible locations. Compromised keys should be revoked immediately via the dashboard.
API usage must be consistent with the Service's intended purpose and documentation. We reserve the right to throttle, suspend, or terminate API access that we reasonably determine to be abusive, excessive, or in violation of these Terms.
You may close your account at any time by contacting us or using the account closure function in the dashboard. Closure does not relieve you of obligations incurred prior to termination, including any outstanding Service Fees.
We may suspend or terminate your account, in whole or in part, at any time and for any reason, including but not limited to:
(a) Violation of these Terms or any applicable law;
(b) Activity that we reasonably believe poses a risk to the Service, other users, or third parties;
(c) Failure to pay applicable Service Fees;
(d) Extended period of inactivity;
(e) Upon request by law enforcement or regulatory authorities.
We will endeavor to provide notice of termination where practicable, but we are not obligated to do so in cases involving suspected illegal activity, fraud, or imminent harm.
Upon termination, your access to the Service will cease. We are not responsible for any consequences arising from the inability to route payments following account termination. Data retention following termination is governed by our Privacy Policy.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
AgenticBTC does not provide financial, investment, legal, or tax advice. The Service is infrastructure. Nothing in the Service or these Terms should be construed as a recommendation or endorsement of any particular payment rail, cryptocurrency, or financial strategy.
Because AgenticBTC is non-custodial and never holds or controls user funds, we bear no responsibility for the loss, theft, or mismanagement of funds held in your wallets or accounts with third-party providers.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE COMPANY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL SERVICE FEES PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE, WHETHER FORESEEABLE OR NOT AND REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Without limiting the foregoing, the Company shall not be liable for:
(a) Any loss of funds resulting from third-party rail failures, outages, or policy changes;
(b) Any loss resulting from actions taken by your AI agent;
(c) Any loss resulting from unauthorized access to your account due to your failure to secure credentials;
(d) Any loss arising from cryptocurrency price volatility;
(e) Any loss arising from regulatory action in your jurisdiction.
You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) actions taken by AI agents you have authorized; or (e) any dispute between you and a third party relating to a transaction routed through the Service.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") shall be resolved exclusively by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in Travis County, Texas, before a single arbitrator.
Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.
For any proceeding not subject to arbitration, the state and federal courts located in Travis County, Texas shall have exclusive jurisdiction, and you consent to personal jurisdiction in such courts.
All right, title, and interest in and to the Service, including its software, API, documentation, trademarks, and all related intellectual property, are and shall remain the exclusive property of the Company. These Terms grant you no rights in the Company's intellectual property except the limited right to use the Service in accordance with these Terms.
These Terms, together with the Privacy Policy and Risk Disclaimers published at agenticbtc.io, constitute the entire agreement between you and the Company with respect to the Service.
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
The failure of the Company to enforce any provision of these Terms shall not constitute a waiver of that or any other provision.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
The Company shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemic, government action, network failures, or third-party service interruptions.
