1. General Disclaimer

AgenticBTC is payment routing infrastructure operated by BK Block Solutions. The Service selects optimal payment rails for transactions initiated by you or your authorized AI agent. AgenticBTC is not a financial advisor, broker, dealer, exchange, custodian, money transmitter, or money services business. Nothing provided through the Service constitutes financial, investment, legal, or tax advice.

You use the Service at your own risk. The risks described below are not exhaustive. You should carefully consider whether the use of the Service is appropriate for you in light of your circumstances, financial condition, and risk tolerance.

2. Cryptocurrency and Digital Asset Risks

2.1 Price Volatility

Cryptocurrencies and digital assets, including Bitcoin (BTC) and USD Coin (USDC), are subject to significant price volatility. The value of digital assets can fluctuate dramatically within short periods. A payment routed through the Service may be worth materially more or less by the time it is confirmed on the underlying network. AgenticBTC does not hedge, insure, or otherwise protect against price fluctuations.

2.2 Blockchain and Network Risks

Transactions routed via blockchain-based rails (Lightning Network, on-chain Bitcoin, USDC on Base L2) are subject to the inherent risks of distributed ledger technology, including but not limited to:

Certain payment rails supported by the Service (including USDC on Base L2) rely on smart contracts. Smart contracts are software programs that may contain bugs, vulnerabilities, or design flaws. Exploits of smart contracts could result in the loss of funds. AgenticBTC does not audit, warrant, or guarantee the security or correctness of any third-party smart contracts.

2.4 Stablecoin Risk

USDC and other stablecoins are not guaranteed to maintain their peg to any fiat currency. Stablecoin issuers may face regulatory action, reserve insufficiency, or operational failures that could affect the value or redeemability of stablecoin holdings.

3. Non-Custodial and Credential Risks

3.1 BYON (Bring Your Own Node/Wallet) Risk

AgenticBTC is non-custodial. You are solely responsible for the security of your wallets, nodes, private keys, seed phrases, and all credentials associated with your connected accounts.

If you lose access to your private keys, seed phrases, or account credentials, your funds may be permanently and irrecoverably lost. AgenticBTC cannot recover, reset, or restore access to your wallets or third-party accounts.

3.2 Credential Compromise

If your wallet credentials, payment provider account credentials, or AgenticBTC API keys are compromised, unauthorized parties may be able to initiate transactions through the Service. You are responsible for securing all credentials and promptly revoking any compromised keys.

3.3 Connected Account Security

The security of your funds depends on the security practices of the third-party providers you connect (e.g., Coinbase, Strike, PayPal). AgenticBTC does not control and is not responsible for the security measures, insurance coverage, or operational integrity of any third-party provider.

4. Payment Rail and Third-Party Risks

4.1 Third-Party Service Availability

The payment rails accessible through the Service are operated by independent third-party providers. These providers may experience:

4.2 No Guarantee of Payment Completion

Routing a transaction through the Service does not guarantee that the payment will be completed. Payments may fail, be delayed, be reversed, or be declined by the selected payment rail for reasons including but not limited to: insufficient funds, recipient errors, compliance holds, network conditions, or provider policy enforcement.

4.3 Third-Party Terms and Policies

Your use of connected payment rails is governed by the terms of service, acceptable use policies, and privacy policies of each respective provider. You are responsible for reviewing and complying with all applicable third-party terms. Changes to third-party terms may affect your ability to use certain rails through the Service.

5. AI Agent Autonomy Risks

5.1 Agent Decision-Making

If you authorize an AI agent to interact with the Service on your behalf, that agent will make decisions about payment routing requests based on its programming, configuration, and the instructions it receives. AI agents may make decisions that you did not anticipate, intend, or desire, including but not limited to:

AI agents are software systems that may contain bugs, experience malfunctions, or behave unexpectedly. AgenticBTC does not develop, deploy, train, or control your AI agent. You bear full responsibility for all actions taken by any AI agent you authorize to use the Service, regardless of whether those actions were intended.

5.3 No Agent Oversight by AgenticBTC

AgenticBTC provides routing infrastructure only. We do not monitor, supervise, audit, or constrain the behavior of AI agents that access the Service. Implementing appropriate safeguards, spending limits, and oversight mechanisms for your AI agent is solely your responsibility.

6. Regulatory and Legal Risks

6.1 Regulatory Uncertainty

The legal and regulatory landscape for cryptocurrency, digital assets, blockchain technology, and AI-driven financial services is evolving rapidly and varies significantly by jurisdiction. Existing laws may be interpreted in novel ways, and new laws or regulations may be enacted that:

6.2 Enforcement Risk

Regulatory authorities may take enforcement actions that affect the Service, including requiring changes to functionality, restricting access in certain jurisdictions, or compelling disclosure of user information. Such actions may occur with limited or no advance notice.

6.3 Tax Obligations

Transactions routed through the Service may give rise to tax obligations in your jurisdiction, including income tax, capital gains tax, goods and services tax, or value-added tax. AgenticBTC does not provide tax advice and does not issue tax forms (e.g., 1099s) unless required by applicable law. You are responsible for determining and fulfilling your tax obligations.

7. No Government Protection

7.1 No FDIC or SIPC Protection

Digital assets and cryptocurrency held in your wallets or with third-party providers are NOT protected by the Federal Deposit Insurance Corporation (FDIC), the Securities Investor Protection Corporation (SIPC), or any equivalent government deposit insurance program. Unlike bank deposits, your digital asset holdings have no government-backed insurance against loss.

7.2 No Government Guarantee

No government authority has reviewed, approved, or endorsed the AgenticBTC Service. The Service operates without government sponsorship, backing, or guarantee of any kind.

8. Not Financial Advice

Nothing in the Service, on the agenticbtc.io website, in our documentation, or in any communication from AgenticBTC or BK Block Solutions constitutes financial, investment, legal, or tax advice. The Service is infrastructure that routes payments across rails. The selection of a routing path is a technical optimization, not a financial recommendation.

You should consult qualified professionals for financial, legal, and tax advice appropriate to your circumstances before engaging in cryptocurrency transactions.

9. Operational Risks

9.1 Service Availability

The Service may be temporarily or permanently unavailable due to maintenance, technical failures, cyberattacks, force majeure events, or business decisions. We do not guarantee uptime or uninterrupted access.

9.2 Software Risks

The Service is complex software that may contain bugs, errors, or vulnerabilities. While we strive to maintain high-quality, secure software, we cannot guarantee that the Service will be error-free or that all defects will be identified and corrected.

9.3 Cybersecurity Risks

The Service, like all internet-connected systems, is subject to cybersecurity risks including hacking, phishing, social engineering, denial-of-service attacks, and other malicious activities. While we implement security measures, no system is completely immune to attack.

10. Assumption of Risk

By using the AgenticBTC Service, you acknowledge and agree that:

(b) You understand the risks associated with cryptocurrency, digital assets, blockchain technology, AI agents, and payment routing infrastructure;

(c) You accept sole responsibility for evaluating the merits and risks of using the Service;

(d) You have the financial ability to bear the loss of any funds involved in transactions routed through the Service;

(e) You will not hold AgenticBTC or BK Block Solutions liable for losses arising from the risks described herein or other risks inherent in the use of the Service.
